A manager, commissioner or supervisor has to face many different issues: new law and legislation, changed rules of conduct, social expectations and media that scrupulously follow their performance.

All these influences directly affect both the organization of governance as well as the composition of and the interplay in the Board of Directors or the Supervisory Board.  We see that monitoring often involves values, culture and behavior: not only as a subject of supervision, but also as a guideline for the board’s own functioning. A committed governance is the answer that is currently being heard in various sectors.

Committed governance In a committed governance, commissioners and supervisors make sure they not only have knowledge of measurable but also of noticeable information. This is only possible when commissioners and supervisors relate directly to the organization, the stakeholders and the external supervisors. This practice changes the way control and supervision is set up. However, committed governance also raises questions, for example about the desired added value of the Board of Directors or Supervisory Board, or about task perception, task interpretation and task persistence.

Arrangement of governance Every company or organization has the freedom to arrange the governance by themselves, of course within the framework of law and legislation. In this way, governance can meet the specific needs of the company or organization. That is how a good balance can be found between supervision based on principles and supervision based on rules; between monitoring objective data and monitoring behavioral or cultural issues; between ticking off and experiencing; between formal, distant supervision and involved supervision; between being accountable and being approachable.
